1. OUR SERVICES

UBIQMALL provides an online e‑commerce platform to buy and sell goods, including but not limited to electronics, fashion, home goods, and accessories. We make these Services available to users worldwide. You agree to comply with all applicable laws where you use or access the Services.

2. INTELLECTUAL PROPERTY RIGHTS

All content on the Services (software, text, graphics, logos, designs, photos, audio clips, video clips) is owned or licensed by UBIQMALL and protected by copyright, trademark, and other laws. You may view, download, or print pages only for your own personal, non-commercial use. Any other use without express written permission is prohibited.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

• You have legal capacity to enter into these terms;
• You will not impersonate others or provide false information;
• Your use complies with the law and these terms;
• You will not use bots or automation to access the Services;
• You will keep your account credentials secure.

4. PROHIBITED ACTIVITIES

You agree not to:

• Use the Services for unlawful or harmful purposes;
• Reverse engineer or interfere with our systems;
• Transmit malware or spam;
• Collect data on users without consent;
• Impersonate others or facilitate their impersonation;
• Engage in abusive or harassing conduct on the platform;

5. USER GENERATED CONTRIBUTIONS

Though UBIQMALL does not allow open public posting of reviews or comments, you may provide feedback or inquiries directly. You represent that your submissions are:

• Original to you or licensed for use;
• Not infringing third-party rights;
• Neither defamatory, harmful, nor illegal;
• Free of viruses or malware;
• Not private or confidential, unless permitted.

6. CONTRIBUTION LICENSE

By submitting content to UBIQMALL (like feedback, suggestions), you grant us an irrevocable, worldwide, royalty-free license to use, copy, publicly display and modify your content for any purpose without attribution or compensation.

7. SERVICES MANAGEMENT

We may monitor use of the Services and remove any content that violates these terms or is burdensome to our systems. We may also suspend or terminate user access at any time in our discretion, with or without notice.

8. TERM AND TERMINATION

These terms remain effective while you use the Services. We reserve the right to suspend or terminate your account for any reason, including violation of these terms. Post-termination, you may not create a new account without our permission. We may pursue legal remedies if necessary.

9. MODIFICATIONS AND INTERRUPTIONS

We may modify, suspend, or discontinue parts or all of the Services at any time, without notice. We are not liable for any resulting damages, loss of data, or inability to access the Services during downtime or changes.

10. GOVERNING LAW

These terms are governed by the laws of India. Both you and UBIQMALL consent to exclusive jurisdiction of the courts in Surat, Gujarat.

11. DISPUTE RESOLUTION

Informal Negotiation: Before pursuing formal dispute resolution, you and we will attempt to resolve the matter informally within 30 days.

Binding Arbitration: Any unresolved disputes will be resolved under the International Commercial Arbitration Court (European Arbitration Chamber, Brussels), with 1 arbitrator, seated in Surat, Gujarat. The arbitration proceedings will use English law and be conducted in English.

Arbitrations are individual only—no class actions or representative claims. Exceptions to arbitration include disputes over intellectual property rights, allegations of theft, piracy, privacy breach, or injunctive relief.

12. CORRECTIONS

We strive for accuracy but disclaim liability for content errors. We reserve the right to correct and update information (such as product descriptions, prices, availability) without prior notice.

13. DISCLAIMER

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, OR NON‑INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED ACCESS OR ACCURACY OF CONTENT. WE ARE NOT RESPONSIBLE FOR THIRD-PARTY PRODUCTS, LINKS, BUGS, VIRUSES, OR HARM CAUSED BY USE OF THE SERVICES.

14. LIMITATIONS OF LIABILITY

TO THE MAXIMUM EXTENT ALLOWED BY LAW, UBIQMALL AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU HAVE PAID US IN THE PRIOR 12 MONTHS (OR $100 USD IF YOU HAVE NOT PAID US). SOME GOVERNMENTS PROHIBIT LIMITATIONS ON LIABILITY; IN SUCH CASES, LIABILITY IS LIMITED TO THE MAXIMUM PERMITTED.

15. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless UBIQMALL, its affiliates, and employees from any claims, damages, liabilities, costs, or expenses arising from your use of the Services or violation of these terms.

16. USER DATA

You retain ownership of all data you submit. We back up data regularly, but you agree that UBIQMALL is not responsible for data loss or corruption caused by user actions or external systems.

17. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

By using the Services, you consent to receive electronic communications and agree that all terms, notices, disclosures, and other communications provided electronically satisfy any legal requirement for written communication. You also consent to electronic signatures where applicable.

18. MISCELLANEOUS

These terms represent the entire agreement between you and UBIQMALL. Failure to enforce any provision will not be deemed a waiver. We may transfer rights or obligations. We are not liable for delays beyond our control. If any portion is found invalid, the remainder remains enforceable. These terms are not intended to create joint venture, employment, or agency relationships. They will not be construed against UBIQMALL as drafter.
